Professional Development Course Terms and Conditions
Last updated Aug 2026These Terms and Conditions ("Terms") apply to professional development courses offered by Governance Central LLC ("Governance Central," "we," "us," or "our").
Please read these Terms carefully before registering for a course.
1. Professional Development and Business Use
Our courses are designed primarily for professional and business development.
When registering, you will be asked to confirm that you are purchasing the training solely or predominantly for purposes related to your trade, business, craft, or profession.
Where you register for the course wholly or predominantly for professional or business purposes, consumer protections that apply only to consumers may not apply to your registration.
Your legal status is determined under applicable law based on the actual circumstances and purpose of the transaction. Your business-purpose confirmation does not waive any consumer or other legal rights that cannot lawfully be waived, limited, or excluded.
2. Registration and Acceptance of These Terms
Your registration is confirmed when we accept your registration and receive the required course fee.
Before completing your registration, you will be required to confirm that:
- you are purchasing the training solely or predominantly for purposes related to your trade, business, craft, or profession; and
- you have read and agree to these Terms, including the Cancellation and Refund Policy, No-Show Policy, and the requirement that at least four (4) participants must be present for the course to be conducted.
Course places are limited. Once your registration is confirmed, a place is reserved for you.
3. Course Delivery
The course is a live, instructor-led online professional development course delivered on the date and at the time stated in your registration confirmation.
Unless otherwise stated in your registration confirmation, all course times and cancellation deadlines are based on Pacific Time (PT), as observed in California, USA.
You are responsible for having:
- a reliable internet connection;
- a compatible computer or device;
- any software reasonably required to participate; and
- access to the online platform used to deliver the course.
We may make reasonable changes to the instructor, course agenda, schedule, or technology platform when necessary, provided that the overall nature and value of the training are not materially reduced.
4. Minimum Participation Requirement
This live course requires at least four (4) participants to be present and available to participate.
If fewer than four participants are available to attend, the course cannot be conducted and will either be rescheduled or cancelled in accordance with these Terms.
Because one participant's cancellation, late arrival, or absence may prevent the course from proceeding, participants should notify us as soon as possible if they become unable to attend.
If a participant cancels and the number of available participants falls below four, we may attempt to fill the vacant place with another eligible participant.
If we cannot fill the vacant place and the course cannot proceed:
- the participant who cancelled remains subject to the Cancellation and Refund Policy in Section 5, based on when we received the cancellation;
- a participant who does not attend remains subject to the No-Show Policy in Section 7; and
- participants who were present and ready to attend will not lose their course fees and may choose either a full refund of the course fee they paid, or a transfer to another available course date.
5. Participant Cancellations and Refunds
If you need to cancel your registration, you must notify us by email at registration@governancecentral.com.
Cancellation periods are calculated using calendar days before the scheduled course start date.
Your cancellation is effective when we receive your cancellation email.
Unless otherwise stated in your registration confirmation, all cancellation deadlines are based on Pacific Time (PT).
A. Cancellation 14 or More Days Before the Course
If we receive your cancellation 14 or more calendar days before the scheduled course start date, you will receive a full refund of the course fee paid.
B. Cancellation 7–13 Days Before the Course
If we receive your cancellation 7 to 13 calendar days before the scheduled course start date, the course fee is non-refundable.
However, you may choose one of the following:
- transfer your registration once to another available course date;
- receive a one-time course credit to be used within six (6) months of the original scheduled course date; or
- transfer your registration to another eligible participant.
Course Credits
A course credit:
- expires six (6) months after the original scheduled course date;
- has no cash value;
- may be used only once; and
- is non-transferable unless we agree otherwise in writing.
If the replacement course costs more than the amount of your credit, you must pay the difference before attending.
If the replacement course costs less than the amount of your credit, any unused balance will expire unless we agree otherwise in writing.
Once a participant has used a course credit or transferred to another course date, the replacement registration is not eligible for another participant-requested transfer, course credit, or refund, except where required by law or where we cancel or reschedule the replacement course.
C. Cancellation Less Than 7 Days Before the Course
If we receive your cancellation less than 7 calendar days before the scheduled course start date, the course fee is non-refundable and no course credit will be provided.
However, you may transfer your place to another eligible participant at no additional charge if:
- you notify us before the scheduled course start time;
- we approve the transfer;
- the replacement participant meets any applicable eligibility or prerequisite requirements; and
- the replacement participant completes any required registration information and agrees to these Terms before the scheduled course start time.
We may, but are not required to, provide a transfer or course credit in exceptional circumstances.
Any exception will be considered on a case-by-case basis and does not create a right to an exception for any other participant or registration.
D. Mandatory Legal Rights
Nothing in this Cancellation and Refund Policy limits any cancellation, refund, withdrawal, or other rights that cannot lawfully be excluded or limited under applicable law.
6. Timely Attendance and Late Arrivals
Participants are responsible for joining the online course on time and being ready to participate at the scheduled course start time.
We recommend joining early enough to resolve any technical or connection issues before the course begins.
If a participant has not joined the course within 10 minutes after the scheduled start time, and that absence prevents the minimum participation requirement of four participants from being met, we may treat that participant as a no-show, unless we have agreed otherwise.
If you know that you will be late, please notify us as soon as possible at registration@governancecentral.com.
If another participant's late arrival prevents the course from being conducted, participants who were present and ready to attend will not lose their course fees. They may choose either a full refund of the course fee they paid, or a transfer to another available course date.
7. No-Shows
A participant who does not attend the scheduled course and has not cancelled in advance will be considered a no-show.
A participant may also be treated as a no-show under the late-arrival provisions in Section 6.
A no-show is not eligible for:
- a refund;
- a course credit;
- a transfer to another course date; or
- a transfer of the registration to another person after the scheduled course start time.
If a participant's no-show causes attendance to fall below the required minimum of four participants and prevents the course from being conducted:
- the no-show participant remains ineligible for a refund, credit, or transfer; and
- participants who were present and ready to attend may choose either a full refund of the course fee they paid, or a transfer to another available course date.
8. Transfers to Another Participant
Where these Terms permit you to transfer your registration to another participant, you must contact us and receive our approval before providing course access information to that person.
The replacement participant must:
- meet any applicable eligibility or prerequisite requirements;
- provide any registration information we reasonably require;
- confirm that the training is being purchased solely or predominantly for purposes related to their trade, business, craft, or profession; and
- agree to these Terms before the scheduled course start time.
A participant transfer does not create a new cancellation period or restart the cancellation deadlines.
The replacement participant receives the registration subject to the same cancellation and refund conditions that applied to the original registration.
9. Cancellation or Rescheduling by Governance Central LLC
We may cancel or reschedule a course when reasonably necessary, including because of:
- insufficient participation;
- instructor illness or unavailability;
- significant technical problems;
- emergencies;
- circumstances outside our reasonable control; or
- circumstances that make delivery of the course unsafe, unlawful, or impracticable.
If We Cancel the Course
If we cancel the course, affected participants who remained registered may choose a full refund of the course fee paid, or a transfer to another available course date.
If We Reschedule the Course
If we reschedule the course, affected participants who remained registered may choose:
- to attend on the rescheduled date;
- to transfer to another available course date; or
- to receive a full refund of the course fee paid.
A participant who had already cancelled or who was a no-show remains subject to the applicable cancellation or no-show rules and does not receive additional refund rights solely because the course was later cancelled or rescheduled, except where required by applicable law.
10. Refund Processing
When a refund is due under these Terms, we will process the approved refund within 10 business days after the refund is approved.
Where reasonably possible, the refund will be made to the original payment method.
After we process the refund, your bank, card issuer, payment provider, or other financial institution may require additional time to make the funds available to you.
11. Individual Course Access
Your registration and course access are for your individual use unless we expressly agree otherwise.
You may not share your:
- course access link;
- meeting invitation;
- login information;
- password; or
- other course access credentials
with another person without our prior permission.
An approved participant transfer must comply with Section 8.
12. Recording, Transcription, and AI Tools
Unless we give you prior written permission, you may not:
- audio-record or video-record the course;
- screen-record the course;
- photograph or otherwise capture course content;
- create an unauthorized transcript of the course; or
- use AI meeting assistants, AI note-taking tools, transcription bots, recording bots, or similar automated tools during the course.
These restrictions help protect our course materials and the privacy of instructors and other participants.
13. Course Materials and Intellectual Property
Course materials, including slides, handouts, exercises, worksheets, templates, graphics, and other training content, are owned by Governance Central LLC or our licensors and are protected by applicable intellectual property laws.
You may use materials provided to you for your own professional development or internal business purposes.
Unless we give you prior written permission, you may not:
- copy or distribute the course materials to others;
- upload, publish, or post the course materials online;
- sell, license, sublicense, or commercially distribute the course materials;
- use the materials to provide training to third parties;
- use the materials to provide competing training;
- reproduce a substantial portion of the materials; or
- remove copyright, trademark, attribution, or ownership notices.
Your registration does not transfer ownership of our intellectual property to you.
14. Participant Conduct
Participants must behave professionally and respectfully toward instructors and other participants.
We may warn, suspend, or remove a participant for serious or repeated misconduct, including:
- harassment, threatening conduct, or abusive behavior;
- material disruption of the course;
- unauthorized recording or transcription;
- unauthorized use of AI recording or transcription tools;
- sharing course access with another person; or
- unauthorized use or distribution of course materials.
To the extent permitted by applicable law, a participant removed for serious misconduct may not be entitled to a refund, course credit, or transfer.
If removal of a participant causes attendance to fall below the required minimum of four participants and prevents the course from continuing, participants who were not responsible for the misconduct will not lose their course fees.
Those participants may choose either a full refund, or a transfer to another available course date.
15. Confidentiality During Live Discussions
Participants may discuss professional experiences, workplace matters, or business situations during the course.
You must not disclose confidential, privileged, proprietary, personal, or sensitive information that you are not authorized to share.
Participants are expected to respect the privacy of other participants.
However, because this is a group training environment, we cannot guarantee that information voluntarily disclosed during a course will remain confidential.
You are responsible for deciding what information is appropriate to share during the course.
16. Educational and Professional Disclaimer
The course is provided for educational and professional-development purposes.
Unless we expressly state otherwise, participation does not guarantee:
- employment;
- promotion;
- increased income;
- improved business performance;
- professional licensing;
- professional certification;
- regulatory compliance; or
- any particular professional or business result.
Course content provides general educational information.
It is not individualized legal, tax, financial, medical, accounting, or other professional advice where such advice would require consideration of your individual circumstances.
You remain responsible for decisions made based on your own professional, business, and personal circumstances.
17. Privacy
We process personal information in accordance with the Governance Central Privacy Policy, available at: https://www.governancecentral.com/privacy-policy
We may process personal information reasonably necessary to:
- administer your registration;
- process payments and refunds;
- communicate with you about the course;
- deliver the course; and
- comply with applicable legal obligations.
18. Limitation of Liability
To the maximum extent permitted by applicable law, the total liability of Governance Central LLC arising out of or relating to your registration for or participation in the applicable course will not exceed the amount you paid for that course.
To the maximum extent permitted by applicable law, Governance Central LLC will not be liable for indirect, incidental, special, or consequential losses arising from your participation in, or inability to participate in, the course.
Nothing in these Terms excludes or limits:
- liability that cannot lawfully be excluded or limited;
- liability for fraud or fraudulent misrepresentation; or
- any mandatory legal rights or remedies available to you under applicable law.
19. Governing Law
These Terms and your registration are governed by the laws of the State of Delaware, USA, to the extent permitted by applicable law.
Nothing in this section deprives you of any mandatory rights, protections, or remedies that apply to you and cannot lawfully be waived, limited, or excluded.
20. Changes to These Terms
The version of these Terms that you accept when you register will apply to that registration.
We may update these Terms for future registrations.
We will not materially change the Terms governing an existing registration unless:
- you agree to the change; or
- the change is permitted or required by applicable law.
21. Entire Agreement
These Terms, together with the applicable course description, registration confirmation, and Privacy Policy form the agreement relating to your course registration.
If a course-specific term clearly presented to you during registration conflicts with these Terms, the course-specific term will apply to that registration to the extent of the conflict.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
